At that time, financial market participants focused predominantly on servicing the local municipal debt markets, leaving private companies needing access to specialized merger and acquisition (M&A) services for critical needs like sales, acquisitions, divestitures, and strategic advisory services. Given MCC’s history of successful management buyouts and corporate restructuring, what advice would you offer to companies considering these strategic options in today’s economic climate?
For companies considering any transaction, we advise carefully reviewing whether they are ready to embark on a transaction by educating themselves concerning what a transaction process involves and having a good idea of what the business is worth. MCC can assist companies in evaluating their strategic and financial situation ahead of a possible transaction by reviewing the company’s level of transaction readiness and identifying key value drivers to maximize value. We will collaborate closely with clients to review information and action steps that need to be taken, such as the following:
- Financials: Are audited financial statements, detailed management reports, and a budget for at least one year available?
- Profitability and scale: Is the company operating at its optimal profitability level, or can it implement operating efficiencies to maximize performance? Has the company achieved the correct scale, or is there an opportunity to acquire competitors and become larger by consolidating the market to maximize value through a transaction later?
- Management: Does the company have a strong leadership team supported by capable personnel who can continue managing the business post-transaction?
- Critical Relationships: It is essential to assess the status of vital relationships with clients, suppliers, lessors, and other stakeholders.
- Legal Review: Evaluate the status of all critical contracts and identify potential red flags, such as contract duration, execution status, or onerous terms.
- Technology Assessment: Review the current systems in place to identify weaknesses and determine any necessary updates.
- Exit Strategy: Have the owners developed a post-exit plan? This includes reviewing tax implications, estate planning considerations, and the emotional and psychological implications of detaching themselves from the business.
